The Hong Kong Stock Exchange has proposed the biggest overhaul of its IPO listing rules in over twenty years, including allowing dual class-listing and favorable listing terms for biotech companies. These changes are expected to make the HKEX the most attractive overseas listing option for mainland Chinese firms, and potentially help Hong Kong reclaim its leading position on the global IPO league table.

At the same time, after a record 437 IPOs in mainland China, raising a total of RMB45 billion last year, the outlook for domestic IPOs by Chinese companies is increasingly uncertain as the regulatory approval process becomes more strenuous. That should spark greater interests by Chinese companies, especially those in biotech sector, to seek a public share float in the neighboring Special Administrative Region, Hong Kong.

CDH Investment: Partner, Lily Zhang

Lily Zhang joined CDH Investments in 2015 focused on healthcare industry investments, with rich experience in investing in the biotech industry. Previously, she worked as director of Business Development and Intelligence at GlaxoSmithKline (China) Investment, and business development manager of Asia Pacific at Johnson & Johnson, responsible for merger and acquisition deals in the treatment sector.

JunHe LLP: Senior Partner, Chunyang Shao

Chunyang Shao joined JunHe in 2002 as a partner, and has since acted as PRC counsel for the issuer or the underwriter for IPOs and domestic or offshore listings of PRC conglomerates or high-growth companies. He has also represented various multinational corporations and investment funds on their investments and mergers and acquisitions in China. In recent years, Mr. Shao has represented PRC companies of PE funds in their offshore investments or cross-border M&A projects.

Baker Tilly Hong Kong: Director of Risk Advisory, Doman Wong

Mr. Wong has 30 years of experience combining external audit, management accounting, operations management, and internal audit and investigation. First trained in one of the Big Four accounting firms, he has held management positions in a number of listed companies, including Asian subsidiaries of US and UK multi-national companies based in Hong Kong and Australia. He is actively involved in the management and development of Baker Tilly’s Risk Advisory Department, overseeing the performance of internal control review assignments, IT system review, corporate governance review, enterprise risk assessment as well as fraud investigation assignments.

ONC Lawyers: Partner, Angel Wong

Angel Wong is a partner at ONC Lawyers, building up the firm’s IPO practice during the past ten years. She specializes in corporate finance and has advised many listing applicants and sponsors in initial public offerings (IPOs) on the Main Board and GEM Board of the Hong Kong Stock Exchange. She has rich experience in pre-IPO restructuring and financing, overseas listing, mergers and acquisitions, loan and financing transactions, corporate governance and general compliance for listed companies as well as private enterprises.
